This book was initially published as a guide to Colorado corporate forms. Previous editions were primarily focused on the corporate business form and the documents necessary to form, operate, and dissolve corporations. Colorado has been one of the most advanced states in the adoption of variations on the business entity form, and now authorizes the formation and operation of corporations, general partnerships, limited partnerships, limited liability partnerships, limited liability companies, and limited partnership associations, as well as special purpose corporations, such as condominium associations and professional corporations. Accordingly, the fourth edition of this publication includes documents to form, operate, and dissolve the available business organizations, and is entitled Colorado Business Organizations & Forms.

Each chapter contains three basic parts:

  •  (1) a description of the textual background of that chapter
  •  (2) specific explanatory notes to the individual forms
  •  (3) the forms themselves
